نقدی بر یکنواخت‌سازی قراردادهای بانکی از سوی بانک مرکزی؛ مبانی ‏نظری و جنبه‌های کاربردی با نگاه تطبیقی

چکیده

بانک مرکزی جمهوری اسلامی ایران در سال 1390 و در اجرای تبصرۀ ذیل مادۀ 23 از قانون بهبود مستمر محیط کسب و کار، اقدام به یکنواخت‌سازی فرم‌های عقود اسلامی برای استفاده در شبکۀ بانکی کشور نموده است. با اینکه هدف از تدبیر موردبحث، نخست، ایجاد تراضی و عادلانه نمودن قراردادهای الحاقی و سپس شفافیت در روابط میان بانک و مشتری بوده، به‌نظر می‌رسد که این تدبیر چندان در برآوردن اهداف خود موفق نبوده، حتی به تضییع حقوق مشتریان بانک‌ها نیز انجامیده است. در مسئلۀ یکنواخت‌سازی قراردادهای بانکی، هرچند بانک مرکزی بر اساس تکلیف قانونی خود عمل نموده، لیکن از یک سو قراردادهای تنظیم‌شده دارای اشکالات و ایرادات واضحی است و از سوی دیگر، ضمانت اجرای مشخصی برای این تدبیر در‌نظر گرفته نشده است. در نوشتار پیش ‌رو، نگارندگان با بهره‌گیری از مشروح مذاکرات مجلس شورای اسلامی و نیز انجام مصاحبه‌های متعدد با متخصصان، استادان، قضات و به‌طور کلی دست‌اندرکاران نظام بانکی و انجام مطالعۀ تطبیقی، نخست به ارزیابی نقادانۀ مسئلۀ یکنواخت‌سازی و سپس بررسی ایرادات قراردادهای یکنواخت‌شده پرداخته‌اند.

چکیده [English]

Unification of Central Bank Contracts in the Islamic Republic of Iran has been prescribed by the Act of Continuous Improvement of the Business Environment in March 2012 of the Islamic Parliament. According to its Article (23), the Central Bank of the Islamic Republic of Iran was charged with the obligation of unification of bank contracts. In this paper, we are about to assess the project of unification in order to figure out its strengths and weaknesses. According to our study, the project of unification has not proved an enduring success, since it is not working in favor of the weaker side of the contracts, i.e., bank customers; hence, there is no balance between the two sides. Nevertheless, from our standpoint, this is not the only attributable defect to the mentioned project. An assessment in detail is rendered, and a couple of solutions to overcome the weaknesses are proposed in this paper in order to reach an acceptable survey.
