After all changes, the legislator, by virtue of Article 522 of Iran Civil Procedure Code (December 2000) has allowed for the penalty on the delayed payment of debts in the currency that is commonly used in Iran (namely IRR). However, the matter of legitimacy of the penalty for delayed payment on foreign currencies is still an open question.The current research project principally aims to examine the legitimacy and legality of delayed payment penalty, regardless of the type of currency, by reviewing the Iran international arbitration practice. The next aim is to find a criterion for calculations and determining the rate of delayed payment penalty applicable to foreign currencies. To these aims, after studying and investigating the criteria applied in international commercial documents, usages in international trade, and reviewing the Iranian arbitral awards, some suggestions have been provided. According to such findings, the judge or the arbitrator should, in the first place, attempt to acquire and understand the real intention of the involved parties regarding the matter of delayed payment penalty, and accordingly, render the award based on such an intention. In case that such an acquisition is not possible, the judge or the arbitrator should determine the penalty for foreign currency by considering the type of currency, international practices, and the usages that exist with regards to such a currency.}, keywords = {Adjustment of liquidated damage,civil liability,delayed payment penalty,International Commercial Arbitration,Transnational commercial law}, title_fa = {ملاک محاسبۀ نرخ خسارت تأخیر تأدیه ناشی از ارز خارجی در اسناد تجاری بین‌المللی با نگاه به رویۀ داوری تجاری بین‌المللی ایران}, abstract_fa = {در حقوق ایران موضوع خسارات ناشی از تأخیر در تأدیۀ پول سبقه‌ای دیرینه دارد. با وجود فراز و نشیب‌های سالیان متمادی، قانون‌گذار اسلامی با شرعی یافتن تعلق خسارات، به‌صراحت در مادۀ 522 قانون آیین دادرسی مدنی مصوب 1379، مفهومی نزدیک به مفهوم خسارات ناشی از تأخیر را نسبت به وجه رایج داخلی یا همان ریال پذیرفت. با این‌ حال، وجود دیدگاه‌های متعدد و آرای متشتت پیرامون موضوع تأخیر در پرداخت ارز خارجی همچنان سؤالاتی را بر جای گذارده که مهم‌ترین آن‌ها موضع قانون‌گذار ایران در خصوص تعلق یا عدم تعلق خسارات به ارزهای خارجی و در صورت تعلق، ملاک‌ محاسبۀ خسارات است؛ موضوعی که قوانین فعلی نسبت به آن سکوت اختیار کرده است، چراکه نه‌تنها منطوق مادۀ 522 قانون آیین دادرسی مدنی و قوانین تفسیری ناظر بر آن دربرگیرندۀ ارز خارجی نیست، بلکه رأی وحدت رویۀ شمارۀ 90 مورخ ۴ دی ۱۳۵۳ دیوان عالی کشور نیز به‌موجب جوابیۀ شورای نگهبان، خلاف شرع انور و غیرقابل استناد شناخته ‌شده است. پژوهش حاضر با اتکا به روش کیفی، توصیفی- تحلیلی و توسل به داده‌های کتابخانه‌ای از طریق بررسی دکترین داخلی و مقایسۀ اسناد اساسی تجاری بین‌المللی و نیز مطالعۀ موردی رویۀ داوری تجاری بین‌المللی موجود در ایران، ضمن مستدل و منصفانه یافتن نظریۀ تعلق خسارات به ارز خارجی، ملاک‌هایی را برای محاسبۀ خسارات به ‌نظام حقوقی ایران پیشنهاد می‌دهد. بر اساس یافته‌های این پژوهش، مقام رسیدگی، اعم از قاضی یا داور، می‌بایست ارادۀ ظاهری یا باطنی اشخاص درگیر در تعاملات حقوقی منتهی به تأخیر را تحصیل نماید و آرای خود را بر آن استوار سازد. در فرضی که نتوان ارادۀ اشخاص را تحصیل نمود، مقام رسیدگی می‌بایست با توجه به نوع ارز و عرف عام یا خاصی که حول آن شکل‌ گرفته است، سنجه و معیار متناسب و عرفی مرتبط با آن نوع ارز را مناط اعتبار آرای خود قرار دهد.}, keywords_fa = {تحلیل اقتصادی حقوق,تعدیل وجه التزام,حقوق بازرگانی فراملی,عرف و عادت تجاری,مسئولیت مدنی}, url = {https://jcl.ut.ac.ir/article_80596.html}, eprint = {https://jcl.ut.ac.ir/article_80596_00b05483d626454b5a041022c9c7d17a.pdf} }
